These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “Customer,” “Client,” “you,” or “your”) and LibertyAI Technologies Corp (“LibertyAI,” “Company,” “we,” “us,” or “our”), governing access to and use of LibertyAI’s platforms, applications, APIs, AI systems, educational software, CRM tools, websites, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms.
1. Eligibility
You must:

Have legal authority to enter into this agreement on behalf of an organization; or

Access the Services under institutional authorization (e.g., school or government account).
If you are using the Services on behalf of a school district, state agency, or enterprise client, you represent that you have authority to bind that entity.
2. Description of Services
LibertyAI provides AI-powered software platforms including but not limited to:

Artificial intelligence systems

Predictive analytics tools

CRM and customer engagement software

Security and monitoring integrations

API connectivity solutions
-
Government and enterprise data systems
Features may evolve, be modified, or be discontinued at our discretion.
3. Account Registration and Security
Users must:

Provide accurate and current information

Maintain confidentiality of login credentials

Notify LibertyAI of unauthorized access
-
Use the Services only for lawful purposes
You are responsible for all activity under your account.
4. Subscription and Payment Terms
A. Subscription Plans
Access to certain Services may require:

Monthly or annual subscription fees

Custom enterprise agreements

Government contract billing structures
Fees are specified in the applicable Order Form or Agreement.
B. Payment Terms

Payments are due as specified in your agreement.

Failure to pay may result in suspension or termination.

Government entities are subject to negotiated payment schedules.
C. Taxes
Users are responsible for applicable taxes unless exempt under law.
5. Acceptable Use Policy
You agree NOT to:

Violate any law or regulation

Infringe intellectual property rights

Upload malicious code

Attempt unauthorized access

Reverse engineer the platform
-
Use AI outputs for unlawful activity

Engage in harassment or abusive conduct

Interfere with system integrity
LibertyAI reserves the right to suspend accounts for violations.
6. Artificial Intelligence Disclaimer
LibertyAI provides AI-powered outputs that may include predictive analytics, automated responses, scoring models, and content generation.
You acknowledge:

AI outputs are generated algorithmically.

Results may not be error-free.
-
AI systems are not a substitute for professional advice (legal, medical, financial, or educational).

Users remain responsible for decisions based on AI outputs.
7. Educational Use & Student Data
For Liberty Learning deployments:

Student data remains under institutional control.
-
LibertyAI acts as a data processor where applicable.
-
Services comply with applicable educational privacy laws.
-
Data usage is governed by contract with the educational institution.
8. Intellectual Property
All rights, title, and interest in the Services—including:

Software
-
AI models
-
Algorithms
-
Databases
-
Content
-
Branding
remain the exclusive property of LibertyAI Technologies Corp.
You receive a limited, non-exclusive, non-transferable license to use the Services during your active subscription.
9. User Content
Users may submit content including:

Data
-
Documents
-
AI prompts
-
Communications
You retain ownership of your content but grant LibertyAI a limited license to process it solely to provide Services.
We do not claim ownership of your uploaded materials.
10. API and Third-Party Integrations
The Services may integrate with third-party systems.
LibertyAI:

Is not responsible for third-party services

Does not control external data practices
-
Disclaims liability for third-party failures
Use of integrations may be subject to separate agreements.
11. Confidentiality
Both parties agree to protect confidential information exchanged during use of the Services.
Confidential information includes:

Technical documentation

AI training methodologies
This obligation survives termination.
12. Data Security
LibertyAI implements reasonable technical safeguards; however:

No system is 100% secure

Users assume risk inherent in internet transmission

LibertyAI is not liable for breaches caused by third-party attacks beyond reasonable control
13. Service Availability
We strive for high uptime but do not guarantee uninterrupted availability.
We may:

Perform maintenance

Update systems

Modify features
Scheduled maintenance will be communicated where feasible.
14. Termination
A. By User
You may terminate your subscription according to your agreement.
B. By LibertyAI
We may suspend or terminate access for:

Breach of Terms

Non-payment
-
Illegal activity
-
Security risk
Termination does not relieve payment obligations accrued prior to termination.
15. Limitation of Liability
To the maximum extent permitted by law:
LibertyAI shall not be liable for:

Indirect damages

Lost profits

Lost data
-
Business interruption
-
Consequential damages
Total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
Some jurisdictions do not allow certain limitations; those limits apply only to the extent permitted.
16. Indemnification
You agree to indemnify and hold harmless LibertyAI from claims arising from:

Your misuse of the Services

Violation of law

Breach of these Terms

Infringement of third-party rights
17. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
Venue for disputes shall be in Jacksonville, Florida, unless otherwise specified in a government or enterprise agreement.
18. Arbitration (Optional Clause)
Unless otherwise agreed in writing, disputes may be resolved through binding arbitration.
Government contracts may supersede this clause.
19. No Warranties
The Services are provided “AS IS” and “AS AVAILABLE.”
LibertyAI disclaims all warranties, including:

Merchantability

Fitness for a particular purpose

Non-infringement
20. Modifications to Terms
LibertyAI may update these Terms.
Material updates will be posted with a revised effective date.
Continued use constitutes acceptance.
